License grant
After valid purchase, NGS LAB SOLUTIONS LLC grants the purchaser a limited, non-exclusive, non-transferable license to install and use the product for the purchaser's own internal business operations.
Who may use it
Unless the purchased plan states otherwise, the license covers one individual purchaser or one legal business entity and its personnel. Contractors may use it only while acting for that purchaser and may not retain copies for other customers.
Permitted use
- Install the skill on compatible systems used by the purchaser.
- Configure and modify an internal working copy.
- Use reviewed outputs in the purchaser's own operations and client communications.
- Make reasonable backup copies.
Restrictions
- No resale, sublicensing, publishing, sharing, giveaway, or redistribution.
- No public repository, marketplace, training collection, or public download upload.
- No representation that the product supplies legal advice or automatic contractual decisions.
- No unlawful, insecure, or rights-violating use.
Updates and support
Purchase includes fixes, documentation updates, and minor improvements released within version 1.x. It does not promise a future major version, integrations, complementary products, bundles, or custom modifications. Support is limited to installation, documented behavior, and reproducible defects.
Outputs and responsibility
The purchaser is responsible for source permissions, confidentiality, professional review, commercial decisions, and use of draft outputs. The product does not provide legal advice, make binding decisions, approve price or schedule, or communicate automatically.
Ownership
NGS LAB SOLUTIONS LLC and its licensors retain ownership of the product and all rights not expressly granted. The purchaser owns its own source materials and reviewed outputs, subject to any rights in the underlying product and third-party materials.
Warranty and liability
To the fullest extent permitted by law, the product is provided “as is” without implied warranties, including merchantability, fitness for a particular purpose, title, or non-infringement. NGS LAB SOLUTIONS LLC is not liable for indirect, consequential, exemplary, or punitive damages, lost profits, lost data, or lost opportunities. Total liability relating to the product will not exceed the amount paid for it. Mandatory rights that cannot legally be limited still apply.
Termination
This license ends automatically if the purchaser materially breaches its restrictions and does not cure a curable breach within 10 days after notice. On termination, the purchaser must stop using and delete product copies, except records that law requires it to retain. Terms concerning ownership, restrictions, responsibility, warranty, and liability survive.
Governing law and general terms
This license is governed by Texas law, subject to mandatory consumer rights. If a provision is unenforceable, the remainder stays effective. A failure to enforce a provision is not a waiver. This license and the Website and Sales Terms are the complete agreement for use of the product.
